Terms of Use

Please read these Terms of Use carefully before using apps.bm. By accessing or using our Services you agree to be bound by these terms. If you do not agree, please do not use the Services.
1. About apps.bm
apps.bm is operated by IELAI Limited, a company incorporated in Bermuda ("we", "us", or "our"). These Terms govern your use of the www.apps.bm website and all applications made available through it (collectively, the "Services").
Bermuda law governs these Terms. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bermuda.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Services. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Account Registration
To access most features you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and promptly notify us of any unauthorised access
- Accept responsibility for all activity under your account
- Not share your account credentials with third parties
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Payment
4.1 Plans
We offer three membership plans: Free, Finance, and Complete. The features included in each plan are described on our Membership page and may be updated from time to time with reasonable notice.
4.2 Fees
Paid plans are billed monthly in advance. All fees are stated in US Dollars and are non-refundable except where required by Bermuda law or as expressly stated herein.
4.3 Changes to Pricing
We may change subscription fees with at least 30 days' written notice. Continued use of a paid plan after the effective date of a price change constitutes acceptance of the new fee.
4.4 Cancellation
You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period. We do not provide partial refunds for unused portions of a billing period unless required by law.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable Bermuda law or regulation
- Upload or transmit malicious code, viruses, or disruptive data
- Attempt to gain unauthorised access to our systems or another user's account
- Harvest, scrape, or collect information about other users without their consent
- Impersonate any person or entity or misrepresent your affiliation
- Use the Services for any unlawful, fraudulent, or deceptive purpose
- Interfere with or disrupt the integrity or performance of the Services
- Resell, sublicense, or otherwise commercialise the Services without our written consent
6. Intellectual Property
All content, software, trademarks, and other intellectual property forming part of the Services are owned by or licensed to IELAI Limited and are protected by Bermuda and international intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business or personal purposes.
You retain ownership of any data you upload to the Services ("Your Content"). You grant us a limited licence to process Your Content solely to the extent necessary to provide the Services to you.
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal information in accordance with Bermuda's Personal Information Protection Act 2016 (PIPA).
8. Availability and Maintenance
We aim to provide continuous availability but do not guarantee uninterrupted access. We may suspend or restrict the Services at any time for maintenance, security, or other operational reasons. Where practicable, we will provide advance notice of planned downtime.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free or that any defects will be corrected.
Nothing in these Terms excludes liability that cannot be excluded under Bermuda law, including any non-waivable consumer rights.
10. Limitation of Liability
To the maximum extent permitted by Bermuda law, our total liability to you for any claim arising out of or in connection with the Services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
We shall not be liable for any indirect, incidental, consequential, special, or exemplary loss or damage (including loss of data, revenue, or profit) arising out of your use of or inability to use the Services.
11. Indemnity
You agree to indemnify and hold harmless IELAI Limited and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services in breach of these Terms or applicable law.
12. Third-Party Links and Services
The Services may contain links to third-party websites or integrate with third-party services (such as QuickBooks Online). We are not responsible for the content, privacy practices, or reliability of any third-party services. Your use of third-party services is subject to their own terms and policies.
13. Changes to These Terms
We may update these Terms from time to time. We will provide at least 14 days' advance notice of material changes by email or in-app notification. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
14. Termination
We may terminate or suspend your access to the Services immediately, without prior notice, if you materially breach these Terms. Upon termination, your right to use the Services will cease immediately. Sections 6, 9, 10, 11, and 15 shall survive any termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Bermuda. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Supreme Court of Bermuda, unless you and we agree in writing to an alternative dispute resolution mechanism.
